Terms of Sale

1. Introduction
These Terms of Sale ("Terms of Sale") govern the purchase of products and services from Solario Technologies Pvt. Ltd. ("Solario," "we," "us," or "our"). They apply to all sales transactions including direct consumer sales, dealer sales, OEM agreements, online orders via www.solariotechnology.com, and offline sales.
These Terms of Sale are supplementary to the general Terms and Conditions and Warranty Policy. In case of any inconsistency, the most restrictive provision protecting Solario shall prevail.
By placing an order, making payment, generating a proforma or final invoice, or taking delivery of any Solario product, you ("Buyer") agree to be bound by these Terms of Sale.
2. Quotations and Pricing
2.1 Quote Validity
Written quotations issued by Solario are valid for 15 calendar days from the date of issue unless otherwise stated in the quote document. After this period, prices and availability are subject to change without notice.
2.2 Pricing Components
All prices quoted are:
- Exclusive of GST (5% on wind turbine HSN 85023100 as on date of these Terms; subject to government revision)
- Exclusive of freight, transit insurance, and delivery charges unless explicitly included
- Exclusive of installation charges unless installation service is separately ordered
- Exclusive of state-specific entry tax, octroi, or local levies where applicable
2.3 Pricing Changes
Solario reserves the right to revise prices at any time. The price applicable to your order is the price stated in the final proforma invoice issued by Solario at the time of order confirmation, not any prior price quoted, displayed on the website, or shown in marketing material.
2.4 Pricing Errors
If a pricing error is identified after order placement but before dispatch, Solario reserves the right to cancel the order and refund any payment received, without any further liability. Solario is not obligated to fulfill orders containing pricing errors.
3. Order Placement and Confirmation
3.1 How Orders Are Placed
Orders may be placed through:
- Solario's website www.solariotechnology.com
- WhatsApp inquiry to Solario's official number
- Email communication confirmed with a Solario representative
- Direct purchase at Solario's Bulandshahr facility
- Through authorized Solario dealers
3.2 Order Acknowledgment
An order is considered confirmed only when:
- Solario issues a written proforma invoice
- Buyer makes the required token or full payment to Solario's official bank account
- Solario issues a written acknowledgment of receipt of payment
Verbal commitments, informal messages, or unconfirmed quotes do NOT constitute a binding order.
3.3 Buyer Information Accuracy
The Buyer is responsible for providing accurate information including:
- Correct billing name (matching GST registration where applicable)
- Valid GSTIN for business customers
- Correct delivery address with landmarks
- Active contact phone number and WhatsApp
- Valid email address
Solario is not responsible for delivery failures, tax invoice errors, or communication delays arising from incorrect Buyer information.
3.4 Order Modifications
Once an order is confirmed and payment received, modifications (product specifications, delivery address, billing details) may be permitted at Solario's sole discretion subject to:
- Modification request received in writing before manufacturing or dispatch
- Any price difference is paid in advance
- Modification fees, if applicable
After dispatch, no modifications are possible.
4. Payment Terms
4.1 Payment Required Before Dispatch
100% advance payment is required before any product is dispatched from Solario's facility, unless a different payment term is explicitly agreed in writing.
4.2 Token Payment
For made-to-order, OEM, or custom-configured products, a token payment (typically 30-50% of the order value) may be accepted to commence manufacturing. The token amount is:
- Non-refundable once manufacturing has commenced
- Adjustable against the final invoice
- Not transferable to other orders or products
4.3 Accepted Payment Methods
- Bank transfer (NEFT, RTGS, IMPS) to Solario's official bank account
- UPI payments to Solario's verified UPI ID
- Cheque or demand draft (subject to clearance before dispatch)
- Online payments through authorized payment gateways on Solario's website
4.4 Payment Verification
Payment is considered received only when funds are credited to Solario's bank account. Buyers must share payment proof (transaction ID, UTR number, screenshot) with Solario's customer service for confirmation. Solario is not liable for payments made to unauthorized accounts or any losses arising from such payments.
4.5 Bank Charges
All bank charges, transaction fees, currency conversion charges (for non-INR payments), and similar fees are to be borne entirely by the Buyer.
4.6 Late Payments
For approved credit terms (limited dealer accounts), payments not received by due date will attract interest at 18% per annum calculated on a daily basis until full payment is received. Solario reserves the right to suspend deliveries or revoke credit terms for late payments.
4.7 GST Compliance
The Buyer is responsible for providing accurate GSTIN if claiming input tax credit. Solario will issue GST-compliant tax invoices. Buyers without GSTIN will be invoiced as B2C transactions.
5. Delivery and Shipping
5.1 Standard Delivery Timeline
Standard delivery time: 30 to 45 days from receipt of full payment (or token payment for made-to-order products), subject to:
- Production schedule and component availability
- Logistics availability and seasonal demand
- Buyer's site readiness for delivery
- Geographic location and accessibility
Solario will make reasonable efforts to deliver within this window but does not guarantee specific delivery dates. Delays do not entitle the Buyer to cancellation, refund, penalty, or compensation.
5.2 Delivery Location
Delivery is made to the address specified in the order. Re-delivery to a different address after dispatch will incur additional charges payable in advance.
5.3 Risk Transfer
Risk of loss, damage, or destruction transfers to the Buyer at the moment of dispatch from Solario's facility. Once handed over to the logistics partner, the Buyer is solely responsible for:
- Transit insurance (recommended)
- Damage during transit
- Loss in transit
- Theft during transit
5.4 Inspection Upon Delivery
The Buyer must:
- Inspect packaging condition before signing the delivery receipt
- Note any visible damage, missing items, or torn packaging on the delivery receipt
- Capture photographic evidence of any damage at the time of delivery
- Report transit damage to both the freight carrier AND Solario within 48 hours of delivery with supporting photos
- Refuse acceptance of severely damaged shipments
Damage claims reported after 48 hours, or without photographic evidence, will not be entertained. Solario is not responsible for damage claims where the Buyer accepted delivery without noting damage on the receipt.
5.5 Delivery Refusal
If the Buyer refuses delivery without valid reason (i.e., no damage, no defect, but simply changing their mind), the Buyer remains liable for:
- Return shipping costs
- Restocking charges (up to 30% of order value)
- Forfeiture of advance payment in part or full
- Any other costs incurred by Solario
5.6 Storage Charges
If the Buyer is unable to take delivery within 7 days of dispatch (delivery attempted but unsuccessful), storage charges may apply at the freight company's standard rates, payable by the Buyer.
6. Title to Goods
Title and legal ownership of the goods passes to the Buyer only upon receipt of full payment by Solario, irrespective of physical possession. Until full payment is received, goods remain Solario's property even if in the Buyer's possession.
This clause allows Solario to recover goods in case of payment default. The Buyer agrees not to resell, transfer, or encumber the goods until full payment is made.
7. Cancellation, Returns, and Refunds
7.1 Order Cancellation
- Cancellation is permitted only before dispatch and only with Solario's written approval
- Cancellation requests must be submitted in writing to solariotechnology@gmail.com
- For made-to-order or OEM products, cancellation may be denied if manufacturing has commenced
- Token amounts for cancelled orders are non-refundable
7.2 Refund Policy
- No refunds are provided after dispatch under any circumstances
- Refunds for cancelled orders (before dispatch, with approval) will be processed within 15 working days to the original payment method
- For payments by cheque or DD, refund will be issued by NEFT to the bank account confirmed by the Buyer
- Refund amounts will be net of any cancellation charges, bank charges, or processing fees
7.3 No Returns or Exchanges After Sale
All sales are final once dispatched. No returns, exchanges, or replacements will be entertained for any reason including:
- Change of mind
- Specification mismatch with Buyer's expectations (where Buyer received the product as ordered)
- Subsidy non-approval or partial approval
- Buyer's site being unsuitable for wind energy
- Performance not meeting Buyer's expectations
- Buyer's inability to install the product
Solario's only obligation for legitimate defects is repair or replacement under the Warranty Policy, at Solario's sole discretion.
7.4 Wrong Product Delivered
If the product delivered does not match the order (wrong model, wrong specifications), the Buyer must report this within 48 hours of delivery with photographic evidence. Solario will arrange replacement at no additional cost. This is the Buyer's sole remedy for wrong-product delivery.
8. Installation Services
8.1 Installation as a Separate Service
Unless explicitly included in the invoice, installation is a separate service purchased independently from the product. Product price does not include installation.
8.2 Self-Installation
Buyers who choose to self-install or use third-party installers (not Solario-certified) acknowledge that:
- Warranty may be voided due to improper installation (refer to Warranty Policy)
- Solario is not liable for any damage, injury, or property loss arising from self-installation
- Solario will not provide technical support for self-installation queries beyond the product manual
8.3 Solario-Certified Installation
For installations by Solario or Solario-certified installers:
- Installation charges are quoted separately based on site complexity
- Site survey may be required before installation, at Solario's discretion
- Site readiness (civil work, electrical infrastructure) is the Buyer's responsibility
- Installation timelines depend on Buyer's site readiness, weather, and crew availability
9. Force Majeure
Solario shall not be liable for any failure or delay in performance arising from circumstances beyond reasonable control, including but not limited to:
- Acts of God (cyclone, earthquake, flood, lightning)
- Pandemic, epidemic, public health emergencies
- War, terrorism, civil unrest, riots, strikes
- Government action, change in law, import/export restrictions
- Supplier failures, raw material shortages
- Transportation disruptions, port congestion
- Cyber attacks, internet/power grid failures
- Any other event beyond Solario's reasonable control
In any such event, Solario's obligations are suspended for the duration of the event and reasonable recovery time, without any liability for compensation.
10. Limitation of Liability
10.1 Maximum Liability Cap
Solario's total maximum liability under any sale, in contract, tort, statute, or any other legal basis, shall not exceed the invoice amount paid by the Buyer for the specific product giving rise to the claim.
10.2 Excluded Damages
Solario shall NOT be liable for:
- Loss of electricity generation, productivity, or business income
- Loss of expected savings or financial returns
- Damage to other property at the installation site
- Personal injury from improper installation by parties other than Solario
- Consequential, incidental, special, indirect, exemplary, or punitive damages
10.3 Buyer's Sole Risk
The decision to purchase any Solario product is the Buyer's sole responsibility and risk. The Buyer acknowledges that wind energy generation involves variability and uncertainty.
11. Compliance with Laws
The Buyer is responsible for:
- Obtaining all required permits, NOCs, and approvals for product installation
- Compliance with local electrical codes and safety regulations
- Net metering applications with local DISCOM (where applicable)
- Society or housing authority permissions
- Building modification approvals where required
Solario is not responsible for the Buyer's failure to comply with applicable laws or local regulations.
12. Intellectual Property
All intellectual property in the products and accompanying materials (designs, software, documentation, branding) remains the exclusive property of Solario. Purchase of a product does not transfer any intellectual property rights to the Buyer. The Buyer agrees not to:
- Reverse engineer or attempt to derive source designs
- Reproduce or manufacture similar products
- Use Solario's trademarks or branding without authorization
- Modify the product in ways that change electrical or mechanical characteristics
13. Dealer-Specific Terms
For sales to dealers:
- Dealer must hold valid GSTIN
- Dealer must comply with monthly inventory reporting (by 5th of each month)
- Resale prices to end customers must not be below Solario's MOP (Minimum Operating Price) where applicable
- Dealer is responsible for after-sales support to their customers
- Dealer agreement may impose additional terms beyond these Terms of Sale
Failure to comply with dealer terms may result in suspension or termination of dealer status.
14. Dispute Resolution
14.1 Good Faith Resolution
Before initiating any legal action, the Buyer must attempt to resolve disputes through written communication with Solario's customer service. Initial complaint must be sent via email to solariotechnology@gmail.com or registered post to Solario's Bulandshahr office.
14.2 Arbitration
If direct resolution fails within 30 days, parties agree to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator at Bulandshahr, Uttar Pradesh, with proceedings in English.
14.3 Exclusive Jurisdiction
Subject to the arbitration clause, all disputes shall be subject to the exclusive jurisdiction of courts at Bulandshahr, Uttar Pradesh, India only.
14.4 Governing Law
These Terms of Sale shall be governed by the laws of the Republic of India.
15. Severability and Entire Agreement
If any provision of these Terms of Sale is found invalid or unenforceable, the remaining provisions continue in full force. These Terms of Sale, together with the proforma/final invoice, warranty card, and the general Terms and Conditions, constitute the entire agreement for the sale transaction.
Verbal commitments by sales representatives, dealers, or any other party are not binding unless confirmed in writing by Solario's authorized signatory.
16. Modifications
Solario reserves the right to modify these Terms of Sale at any time. Modified terms apply to new orders placed after the modification date. For existing orders, the Terms of Sale in effect at the time of order acknowledgment apply.
