1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your purchase, use, and ownership of products and services from Solario Technologies Pvt. Ltd. ("Solario," "we," "us," or "our"), a company incorporated in India and headquartered in Bulandshahr, Uttar Pradesh.

By placing an order, generating an invoice (proforma or final), making payment, taking delivery, or using any Solario product, you ("Customer," "Consumer," "Dealer," "Buyer," or "you") expressly acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree to these Terms, you must not place an order or use our products.

These Terms apply to all transactions including direct consumer sales, dealer sales, OEM agreements, online orders through our website www.solariotechnology.com, and offline orders. By generating any invoice with us, you acknowledge acceptance of these Terms regardless of whether the Terms were physically signed.

These Terms are available in English language on our website www.solariotechnology.com. You confirm that you understand the English language sufficiently to read and comprehend these Terms, or that you have had them translated for your understanding before acceptance.


2. Product Information, Specifications & Pricing

2.1 Specifications Are Indicative

All product specifications, dimensions, weights, capacities, ratings, performance metrics, and technical descriptions published on our website, brochures, catalogs, social media, videos, or marketing material are indicative only and provided for general reference. Actual product specifications may vary within reasonable manufacturing tolerances. Solario reserves the right to modify, update, or revise product specifications at any time without prior notice.

2.2 Images Are Illustrative

All product images, renderings, photographs, and videos shown on our website, social media platforms (including YouTube, Instagram, Facebook, LinkedIn), brochures, and marketing material are for illustrative purposes only. Actual products may differ in finish, color shade, minor dimensions, mounting hardware, packaging, or visual appearance. Image-based claims are not contractual specifications.

2.3 Pricing

All prices published on our website, social media, or quotes are in Indian Rupees (₹) and are subject to:

Prices are subject to change without notice. The price applicable to your order is the price quoted in your final proforma invoice generated by Solario, not any prior price displayed on the website or in marketing material.

2.4 Marketing and Promotional Claims

Marketing language including but not limited to "India's #1," "best in class," "lowest price," "longest lasting," "only manufacturer," and similar superlative claims are based on Solario's good-faith market assessment as of the date of publication. Such claims are descriptive marketing language and shall not be construed as contractual guarantees or specifications. The Customer agrees not to construe marketing language as creating any specific performance, durability, or competitive obligation enforceable as a contractual term.


3. Wind Speed, Performance, and Unit Generation — Critical Disclaimers

This is a critical section. Please read carefully before purchasing any wind energy product.

3.1 Cut-In Wind Speed Is a Technical Threshold, Not a Generation Guarantee

Specifications such as "1.3 m/s cut-in wind speed" or "2 m/s cut-in wind speed" refer to the minimum wind velocity at which the turbine begins to rotate under controlled laboratory or test conditions. This is not a guarantee that the turbine will generate any specific amount of electrical power at that wind speed, nor that the turbine will generate power continuously at such low wind speeds in field conditions.

3.2 Daily Unit Output Estimates Are Conditional

All published "daily unit output" or "kWh per day" or "units per day" ranges (such as "5–10 Units," "10–25 Units," etc.) are estimates based on assumed wind conditions under typical operational parameters. Actual generation depends entirely on real-time site-specific wind conditions, which Solario cannot predict, guarantee, or control. Such estimates do not constitute a warranty, guarantee, or contractual obligation regarding actual energy generation at the Customer's installation site.

3.3 Wind Speed Data Acceptable for Performance Claims

For any performance verification, warranty claim, or dispute regarding generation output, Solario will accept only wind speed data measured by a calibrated anemometer physically installed at the same height and location as the wind turbine, with continuous logging over a minimum verification period of 90 days.

Wind speed estimates from the following sources will NOT be accepted for any performance claim, dispute, or warranty matter:

The reason for this requirement: regional wind data is averaged over large geographic areas and does NOT reflect actual wind conditions at any specific installation site. Site-level wind speed varies dramatically based on local geography, building obstructions, vegetation, elevation, season, and time of day.

3.4 Factors Affecting Real-World Generation

Actual electricity generation from any wind turbine is affected by, including but not limited to:

Solario makes no representation, warranty, or guarantee regarding the actual electricity generation any Customer will achieve at their specific site. The Customer accepts full responsibility for understanding that wind energy generation is inherently variable.

3.5 Customer's Pre-Purchase Due Diligence

Before purchasing a wind turbine, the Customer is solely responsible for:

Solario does not guarantee that any specific site is suitable for wind energy generation. The decision to install a wind turbine at any site is entirely the Customer's responsibility.

3.6 No Guaranteed Return on Investment

Solario does not guarantee any specific payback period, return on investment, electricity bill savings, subsidy amount received, or financial outcome from any wind turbine purchase. Any payback or savings calculations shown in marketing material, sales discussions, or third-party content (including YouTube videos, social media posts, or blog articles) are illustrative estimates only and not contractual guarantees.


4. Orders, Payment, and Cancellation

4.1 Order Confirmation

An order is confirmed only upon Solario's written acknowledgment (email, WhatsApp message, or signed proforma invoice). Verbal discussions, quotes, or estimates do not constitute a confirmed order.

Standard delivery time is 30 to 45 days from receipt of token payment, subject to production schedule, component availability, and logistics. Solario will make reasonable efforts to deliver within this window but does not guarantee specific delivery dates. Delivery delays do not entitle the Customer to cancellation, refund, or compensation.

4.5 Risk Transfer

Risk of damage, loss, or destruction transfers to the Customer at the time of dispatch from Solario's facility. The Customer is solely responsible for transit insurance, freight handling, and condition verification at delivery. Damage during transit must be reported to the freight carrier and Solario within 48 hours of delivery, with photographic evidence.


5. Installation

5.1 Installation Responsibility

Unless installation is specifically purchased as a separate service from Solario, the Customer is solely responsible for installation. Solario's product price does not include installation unless explicitly stated in the invoice.

5.2 Installation by Certified Personnel Only

Solario products must be installed by Solario's authorized installation team or by a Solario-certified third-party installer. Self-installation by the Customer, or installation by an unauthorized electrician/contractor, will void the warranty in full.

The Customer is responsible for all site preparation work including but not limited to:

If the Customer chooses to procure batteries, inverters, cables, mounting hardware, or any other component from sources other than Solario, Solario shall not be liable for any damage to the Customer's equipment or the Solario product arising from incompatibility, defective third-party components, or improper integration. Use of incompatible third-party components may void the warranty on Solario's product.

5.5 Battery Not Included

Unless explicitly mentioned in the invoice, batteries are not included with the wind turbine. The Customer is responsible for sourcing compatible batteries. Solario is not liable for any damage caused by incompatible batteries.


6. Warranty — Strictly Limited

6.1 Warranty is a LIMITED MOTOR WARRANTY, Not a Guarantee

Solario provides a limited warranty on the motor component only. This is NOT a guarantee. The full warranty terms are described in the Warranty Policy. The key terms summarized below are subject to the complete Warranty Policy.

6.2 Warranty Card Mandatory

A warranty card is provided with each sold product. The warranty will only be honored upon presentation of the original warranty card. In the absence of the original warranty card, the warranty will be considered void. Photocopies and digital images are not accepted.

6.3 Scope — Motor Component Only

The warranty covers ONLY the motor component of the wind turbine. NO other component is covered, including but not limited to: blades, tail vane, nacelle, tower, mounting hardware, Super MPPT Voltage Booster Controller, inverter, battery, cables, sensors, lightning arrestor, earthing components, or any other part. Refer to the Warranty Policy Section 4 for the complete exclusion list.

6.4 Warranty Period — 1 Year

Motor warranty period is 1 (one) year from the date of purchase as stated on the original invoice. No other warranty period applies to any other component.

6.5 Warranty Remedy — Repair Only

Solario's sole obligation under warranty is to REPAIR the motor at Solario's Bulandshahr facility. Solario does NOT replace the motor, replace the turbine, refund any amount, provide loaner equipment, or compensate for downtime or lost generation.

6.6 Service Location — Bulandshahr Factory ONLY

All warranty service is performed exclusively at Solario's Bulandshahr factory in Uttar Pradesh, India. Solario does NOT provide on-site service, home service, or service at any other location. The Customer is solely responsible for:

Solario does NOT provide transit insurance. The Customer is advised to obtain their own transit insurance.

6.7 Warranty Non-Transferability

The warranty is strictly non-transferable. The warranty is automatically and permanently void upon:

6.8 Dealer Warranty Conditions

For dealer sales, the dealer must send the complete record of their inventory to the company via email by the 5th of every month. If the inventory record is not provided for any month, the warranty on dealer-held inventory will be considered void.

6.9 Performance Disclaimers

Performance not meeting the Customer's expectations is NOT a warranty matter. Generation output, wind capture efficiency, payback period, and any other performance metric is NOT covered under warranty. Refer to Section 3 of this document for performance disclaimers.


7. Returns, Refunds, and Exchanges

After the sale, no product will be replaced, exchanged, refunded, or amended under any circumstances. All sales are final. This applies to:

Solario's only remedy for legitimate manufacturing defects is repair or replacement at Solario's discretion, subject to the warranty card terms.


8. Government Subsidy and Schemes

8.1 Subsidy Application Is Customer's Responsibility

Government subsidy schemes including but not limited to MNRE schemes, state-level renewable energy subsidies, accelerated depreciation, Section 80IA tax benefits, and GST input tax credit are administered by respective government departments. Solario does not control, guarantee, or take responsibility for subsidy approval, disbursement, amount, or timing.

8.2 No Guaranteed Subsidy

Solario being MNRE-empanelled (where applicable) means Solario's products are eligible for consideration under MNRE schemes. It does not mean any Customer will automatically receive subsidy. Solario does not guarantee subsidy approval or any specific subsidy amount.

8.3 Subsidy Documentation Support

Where Solario assists with subsidy documentation, this is a courtesy service. Solario is not responsible for subsidy applications being delayed, rejected, or disbursed at lower than expected amounts due to government processes.


9. Force Majeure and Weather Events

Solario shall not be liable for any failure to perform, delay, or damage arising from circumstances beyond reasonable control, including but not limited to:

In any such event, Solario's obligations are suspended for the duration of the event and reasonable recovery time, without any liability for compensation.


10. Intellectual Property

10.1 Ownership

All intellectual property rights including but not limited to designs, drawings, technical specifications, software, firmware, branding, trademarks ("Solario," "Solario Technologies," product names, logos, taglines including "Architecture of Air"), copyrights, patents (pending or granted), and trade secrets remain the exclusive property of Solario Technologies Pvt. Ltd.

10.2 Restricted Use

The Customer receives only a non-exclusive, non-transferable right to use the purchased product for its intended purpose. The Customer shall NOT:

For OEM customers, branding rights are governed by a separate OEM agreement. Without a signed OEM agreement, no branding modification, white-labeling, or resale under different brand names is permitted.


11. Social Media and Third-Party Content — Complete Disclaimer

11.1 No Authority of Social Media Claims

ANY content appearing on the following platforms, whether published by Solario, Solario's employees, dealers, distributors, third-party content creators, or any other party, is for general informational purposes only and is NOT contractually binding:

Only content published on www.solariotechnology.com is the official, authoritative, and contractually binding source of product specifications, pricing, warranty terms, and company commitments. In case of any conflict or discrepancy between social media / video / third-party content vs website content, the website prevails.

The Customer is REQUIRED to verify any information seen on social media against the official website before making any purchase decision.

11.3 No Authorization of Third Parties

No YouTuber, influencer, content creator, reviewer, journalist, dealer, distributor, retailer, contractor, or any third party is authorized by Solario to:

Any claims, promises, statements, or representations made by such third parties are made entirely on their own behalf and Solario disclaims all liability for such claims.

11.4 Customer Waiver of Social Media Claims

By placing any order with Solario, the Customer expressly waives any right to enforce or claim damages based on:

The Customer relies SOLELY on the specifications, terms, and information published on www.solariotechnology.com at the time of purchase.

11.5 Marketing Content is Marketing, Not Specifications

Marketing language including "India's #1," "Best in Class," "Lowest Price," "Longest Lasting," "Most Efficient," "Premium," "Industrial Grade," performance projections, generation estimates, customer testimonials, success stories, and any comparison claims are MARKETING LANGUAGE only and shall NOT be construed as contractual specifications, performance guarantees, or warranty obligations.


12. Motor Technology — Disclaimer of Specific Claims

12.1 General Description Only

Solario wind turbines contain magnetic motor technology. The motor uses principles similar to those found in axial flux, permanent magnet, coreless, magnetic levitation (maglev), and related motor topologies used across the wind energy and electric vehicle industries.

12.2 No Specific Technology Claim

Solario describes its motor technology in general descriptive terms only. Solario does NOT claim:

Any reference in marketing materials, social media, videos, blogs, or interviews to specific motor technology names (such as "axial flux," "magnetic coreless," "maglev," "permanent magnet," or similar terms) is descriptive marketing language only and shall NOT be interpreted as a specific technical claim or warranty.

13. Privacy, Data, and Communication

11.1 Data Collection

By placing an order, the Customer consents to Solario collecting and storing personal information necessary for order processing, delivery, warranty administration, and legal compliance.

11.2 Communication Consent

By placing an order, the Customer consents to receive communications from Solario via WhatsApp, SMS, email, and telephone calls regarding order status, delivery, service updates, product announcements, and marketing. The Customer can opt out of marketing communications but not transactional communications.

11.3 Privacy Policy

Use of Solario's website is governed by Solario's Privacy Policy, available on the website.


14. Limitation of Liability

12.1 Maximum Liability Cap

Solario's total maximum liability for any claim, dispute, or damages arising from or related to any product sold or service rendered shall not exceed the invoice amount paid by the Customer for the specific product giving rise to the claim. This applies whether the claim is in contract, tort, negligence, statutory liability, or any other legal theory.

12.2 Exclusion of Consequential Damages

Solario shall not be liable under any circumstances for:

The decision to purchase and install a wind energy product is at the Customer's sole risk. The Customer acknowledges that wind energy generation involves inherent variability and uncertainty, and accepts this risk fully before purchase.

13.1 Website Orders

Orders placed through www.solariotechnology.com are subject to these Terms in full. Online order confirmation will be sent by email or WhatsApp.

13.2 Order Modifications

Once an online order is placed and acknowledged, modifications are at Solario's discretion and may not be possible after production has commenced.

13.3 Pricing Accuracy

While Solario makes reasonable efforts to ensure pricing accuracy on the website, errors may occur. If a pricing error is discovered, Solario reserves the right to cancel the order before dispatch and refund any token amount paid, without further liability.


16. Indemnification

The Customer agrees to indemnify, defend, and hold harmless Solario Technologies Pvt. Ltd., its directors, officers, employees, agents, and authorized representatives from and against any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:


17. Dispute Resolution and Jurisdiction

15.1 Good Faith Resolution

The Customer agrees to first attempt resolution of any dispute through direct communication with Solario in good faith before initiating any legal action. Initial complaint must be sent in writing to Solario's registered office via registered post or email.

15.2 Arbitration

If direct resolution fails, the parties agree to attempt arbitration before initiating court proceedings. Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Solario, with proceedings conducted in English at Bulandshahr, Uttar Pradesh.

15.3 Exclusive Jurisdiction

Subject to the arbitration clause above, all disputes, claims, or legal proceedings arising from or related to these Terms, any purchase, or any product shall be subject to the exclusive jurisdiction of the competent courts at Bulandshahr, Uttar Pradesh, India only. The Customer waives any objection to jurisdiction or venue at Bulandshahr.

15.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.


18. Modifications to Terms

Solario reserves the right to modify these Terms at any time. Modified Terms will be posted on www.solariotechnology.com with an updated "Last Updated" date. Continued use of products, placement of new orders, or generation of new invoices after Terms modification constitutes acceptance of the modified Terms.

For existing orders, the Terms in effect at the time of order acknowledgment shall apply.


19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original.


20. Entire Agreement

These Terms, together with the invoice, warranty card, and any written agreement signed between Solario and the Customer, constitute the entire agreement between the parties regarding the subject matter. These Terms supersede any prior agreements, discussions, verbal commitments, marketing material, sales pitches, or representations not expressly incorporated herein.

Verbal commitments by sales representatives, dealers, or any other party are not binding unless confirmed in writing by Solario's authorized signatory.


21. Language and Acknowledgment of Understanding

These Terms are published in English. By accepting these Terms, the Customer acknowledges that they have read and understood these Terms in English, or have had the Terms translated to a language they understand, and have had adequate opportunity to consult legal counsel before acceptance.
